Terms of Use – Tako Recruiter

SUMMARY OF THE TERMS OF USE

In this section You will find a summary of the main points of our Terms of Use for Tako Recruiter (also referred to as "Nara"), an automated interview solution operated by WGMI that uses voice artificial intelligence to conduct interviews with candidates for job openings in an autonomous and efficient manner, in accordance with the criteria defined by our corporate customers ("Customers"), who are responsible for running the recruitment and selection process.

Please note that this is only a summary to make it easier for you to read the Terms of Use as a whole.

By accepting these Terms of Use, You may access Tako Recruiter and use it during your recruitment and selection process, as determined by our Customers.

In general, to use such Services, You must:

  1. Keep your registration data always up to date with WGMI;
  2. Use Tako Recruiter and the Tako Recruiter Services as set out in these Terms of Use, and refrain from engaging in the practices prohibited in these Terms of Use;
  3. Maintain the security and confidentiality of your Access Credentials;
  4. Respect the Intellectual Property Rights of WGMI and of third parties; and
  5. Ensure that access to Tako Recruiter and to the Tako Recruiter Services always takes place under adequate technical conditions.

TERMS OF USE

1. INTRODUCTION

  1. These General Terms and Conditions of Use ("Terms of Use") contain the terms and conditions for the use of the Tako Recruiter platform, together with all of its content ("Tako Recruiter"), and the Tako Recruiter Services, and are intended to define the rules for access to and use of Tako Recruiter and the Tako Recruiter Services by USERS. Tako Recruiter is operated by WGMI TECNOLOGIAS LTDA., a limited liability company, headquartered at Rua Iaia, 52, 3rd Floor, Room 7, Office 41, Studio 3, city of São Paulo, State of São Paulo, Brazil, enrolled with the National Registry of Legal Entities of the Ministry of Finance ("CNPJ") under No. 45.645.560/0001-31 ("WGMI").
  2. Whenever the terms "WGMI", "we", "us", or "our" are mentioned, we are referring to WGMI; likewise, whenever the terms "USER", "you", or "your" are mentioned, we are referring to you, the USER, who is consenting to these Terms of Use and to the Privacy Policy in order to access and use Tako Recruiter and the Tako Recruiter Services.
  3. In order to use Tako Recruiter and the Tako Recruiter Services offered by WGMI (as defined below) and the features made available through Tako Recruiter, it is necessary for WGMI to have access to certain personal data of USERS. Further details about the types of personal data collected and their respective purposes are presented in the Privacy Policy – Tako Recruiter of WGMI.
  4. BY USING TAKO RECRUITER AND THE TAKO RECRUITER SERVICES, YOU AUTOMATICALLY AGREE TO ALL THE RULES OF THESE TERMS OF USE AND THE OTHER CONDITIONS MENTIONED HEREIN, TAKING FULL RESPONSIBILITY FOR ANY AND ALL ACTS PERFORMED BY YOU ON TAKO RECRUITER, AS WELL AS FOR THE CONSEQUENCES RELATED TO YOUR USE. YOU MAY ALSO NOT EXCUSE YOURSELF FROM THESE TERMS OF USE BY CLAIMING IGNORANCE OF THEIR RULES AND CONDITIONS, INCLUDING ANY MODIFICATIONS TO THEIR PROVISIONS. IF YOU DO NOT AGREE WITH ANY OF THE TERMS AND CONDITIONS SET OUT BELOW, YOU MUST NOT USE TAKO RECRUITER AND THE TAKO RECRUITER SERVICES.
  5. These Terms of Use are fully available for consultation at the website www.usetako.com, and may be accessed by the USER at any time.

2. DEFINITIONS

  1. To make it easier for you to understand and to avoid repetition, the complete list of defined terms used and their respective meanings is provided at the end of these Terms of Use.

3. THE USER'S BINDING ACCEPTANCE

  1. The USER acknowledges and declares that: (i) they access Tako Recruiter of their own free will; and (ii) they accept these Terms of Use and the Privacy Policy – Tako Recruiter of WGMI.

  2. These Terms of Use shall take effect on the date of their acceptance and are intended to govern the rights and obligations attributable to WGMI and to the USER in connection with access to Tako Recruiter and the use / provision of the Tako Recruiter Services. The USER shall be automatically and expressly bound by the conditions set out in these Terms of Use when using the Tako Recruiter Services by scheduling and participating in a meeting attended by the Tako Recruiter AI Agent, becoming bound and subject, as of that moment, to the rights and obligations set out herein.

  3. Any communications sent and/or made available by WGMI to the USER through Tako Recruiter, e-mail, SMS, or telephone numbers provided by the USER at the time of their contact with the Tako Recruiter AI Agent are also considered an integral part of these Terms of Use. The USER's use of Tako Recruiter shall imply the receipt of electronic communications sent by or on behalf of WGMI. If the USER does not wish to receive promotional communications, the USER may opt out at any time using the opt-out link that will be sent together with WGMI's electronic communication.

  4. WGMI may, at any time, amend these Terms of Use, which it will do by publishing the updated version on Tako Recruiter and giving prior notice to the USER by means of (i) sending a communication to the e-mail address registered by the USER on Tako Recruiter; (ii) a notice at the time of access to Tako Recruiter; and/or (iii) communication in any other manner to USERS. If the USER does not agree with the modifications, they may request the closure of their Account.

    4.1. Updates to these Terms of Use shall take effect on the date of their publication, unless otherwise stated.

    4.2. To identify the date and version of the Terms of Use in force, the USER must check the beginning of this document.

  5. The USER declares that they recognize the electronic means and all of its stages as a valid means of contracting, as well as their identification at the time of contracting with WGMI as proof of their agreement with this contracting format.

4. WHAT DOES TAKO RECRUITER OFFER?

  1. Functionality. Tako Recruiter allows the USER to access automated interview services that use voice artificial intelligence to conduct interviews with candidates for job openings in an autonomous and efficient manner ("Tako Recruiter Services").
  2. By using the features on Tako Recruiter and accepting these Terms of Use, the USER may take part in the interview in accordance with the criteria determined by the Customer responsible for running the recruitment and selection process.
  3. WGMI may, at any time, expand the features and/or services offered on Tako Recruiter. The USER's use of any new feature or service shall mean that the USER has fully accepted and adhered to the Terms of Use applicable to such features or services.
  4. WGMI may, at any time, permanently or temporarily discontinue the Tako Recruiter Services made available through Tako Recruiter, upon prior notice to the USER and to the Customer, without any compensation being due.
  5. Access. Tako Recruiter may be accessed through the interview link sent via e-mail or another means of contact (in the case of the USER) or through the application (in the case of the Customer).
  6. Operation. Tako Recruiter operates through an internet connection, and its access and use are intended for the USER and the Customer.

5. REGISTRATION AND ACCESS

  1. Requirements. To use the Tako Recruiter Services offered by Tako Recruiter, the USER must: (i) be 18 (eighteen) years of age or older; (ii) be a resident of Brazil; and (iii) hold an active enrollment in the Individual Taxpayer Registry of the Ministry of Finance ("CPF") with the Federal Revenue Service.

    1.1. As applicable, WGMI may request additional documents from the USER at the time of use of the Tako Recruiter Services offered by Tako Recruiter.

    1.2. Minors under 18 (eighteen) years of age must be assisted by their legal guardians, who must complete the corresponding written authorization, pursuant to applicable law, with the minor under their authority and in their company.

  2. Registration. The registration information, which shall include, without prejudice to other information that may be requested, the data that allow the identification of the USER, such as, where applicable: (i) full name or corporate name; (ii) CPF; and (iii) contact information (e-mail and telephone), will be provided by our Customers responsible for the job openings. For more information about the registration data collected, please see the Privacy Policy – Tako Recruiter of WGMI.

    2.1. The USER and the Customer responsible for the job opening are solely responsible for the data provided, and are therefore criminally and civilly liable for the truthfulness, completeness, currency, and accuracy of the information provided. WGMI is not responsible for errors in the registrations made by USERS or by the Customer.

  3. Access Information. Access to the Tako Recruiter Services will be carried out through contact via the e-mail provided by the Tako Customer responsible for the job opening.

    3.1. The USER may request changes to the Access Information through the Support Channels or by contacting the Customer responsible for the job opening.

    3.2. The USER undertakes to comply with any changes to the access requirements that WGMI may apply, adding additional authentication methods and/or criteria or modifying existing ones, in order to increase the security of Tako Recruiter and the Tako Recruiter Services and/or to comply with new security or technical requirements arising from applicable law.

  4. Interview. From the moment they receive the contact, the USER may take part in the interview, in accordance with the following stages:

    4.1. E-mail Invitation. After being approved for the interview stage, the USER will receive, at the e-mail address provided by the Customer, a formal invitation containing the necessary instructions to participate in the interview on Tako Recruiter. The USER is responsible for keeping their e-mail address up to date with the Customer responsible for the job opening and for regularly checking their inbox, including the spam or junk folder. WGMI is not responsible for the failure to receive communications resulting from incorrect or incomplete registration data.

    4.2. Scheduling. The USER may choose to (i) take part in the interview immediately, by accessing the link provided in the invitation e-mail; or (ii) schedule the interview for a date and time of their preference, among the options available on Tako Recruiter, subject to the validity period of the invitation. The validity period of the invitation will be stated in the e-mail itself. WGMI does not guarantee the availability of all time slots in all circumstances, as there may be technical or operational limitations. Failure to attend the scheduled interview or failure to complete the interview within the validity period of the invitation may result in the elimination of the USER from the corresponding stage, at the sole discretion of the Customer responsible for the job opening.

    4.3. Interview. The interview is conducted on Tako Recruiter, through an artificial intelligence tool, in a voice and/or video session, carried out through the Google Meet platform, owned by Google LLC, whose own terms of use are the sole responsibility of that company.

    4.4. Artificial Intelligence. The USER acknowledges that Tako Recruiter is an automated artificial intelligence system and that the interview will not be conducted by a human being, unless expressly stated otherwise.

    4.5. Questions and Criteria. The USER acknowledges that the interview will be conducted based on predefined questions according to the criteria of the job opening for which the USER is applying. The USER is responsible for ensuring the adequate technical conditions to carry out the interview, including a stable internet connection, a working microphone, and access to Google Meet. WGMI is not responsible for technical failures attributable to the USER and/or for any interruptions, failures, or unavailability of the Google Meet platform.

    4.6. Transcription. The USER acknowledges that the interview will be transcribed so that it is possible to analyze the information provided by the USER.

    4.7. Analysis. After the interview is conducted, a summary of the main information related to the USER will be prepared, as well as an analysis of the USER's compatibility with the prerequisites for the job opening, as determined by the Customer.

    4.8. Feedback. After the analysis is provided to the Customer, personalized feedback about the USER's participation in the interview will be sent to the USER. The feedback provided is merely informative in nature and does not constitute a guarantee of approval, hiring, or any other outcome in the selection process. WGMI is not a party to the final hiring decisions, which are the sole responsibility of the Customer. The use of artificial intelligence in the interview process is a decision-support tool and does not replace human judgment in the earlier and/or later stages of the selection process, unless expressly stated otherwise by the Customer.

  5. Impact of Non-Participation. WGMI does not determine the consequences arising from the USER's non-participation in the interview stage conducted by Tako Recruiter. The effects on the progress of the selection process are defined exclusively by the Customer, in accordance with its own criteria and internal recruitment policies. The decision on how to treat the absence, refusal, or non-attendance of the USER at the interview with Tako Recruiter rests entirely with the Customer.

    5.1. WGMI has no influence over the decision adopted by the Customer and is not responsible for its effects on the USER's participation in the selection process.

    5.2. The USER is advised to verify the specific conditions of the selection process directly with the Customer if they have any questions about the consequences of not participating in the interview stage with Tako Recruiter.

6. USE OF ARTIFICIAL INTELLIGENCE AND PREVENTION OF DISCRIMINATION

  1. Tako Recruiter is an interview system based on artificial intelligence operated by WGMI. Its use in the selection process is intended for the structured collection of USERS' responses and the generation of comparative analyses based on objective criteria previously defined by the Customer.
  2. Measures to Prevent Discrimination. WGMI adopts technical and organizational measures intended to promote fair, impartial, and non-discriminatory results, in accordance with the constitutional principles of equality and non-discrimination.
  3. Predefined Objective Criteria. The questions posed by Tako Recruiter and the criteria used to evaluate the responses are configured in advance based on the specific needs of the job opening, according to the information provided by the Customer.
  4. Absence of Emotional and Biometric Analysis. Tako Recruiter does not, under any circumstances, perform the following analyses: recognition or analysis of facial expressions; analysis of emotions or affective states inferred from voice, image, or text; analysis of voice timbre, intonation, or paralinguistic characteristics for evaluative purposes; analysis of biometric characteristics of any nature. The outputs generated by Tako Recruiter are based exclusively on the verbal content of the responses provided by the USER during the interview, compared against the objective criteria of the job opening.
  5. Sample Human Review. WGMI will periodically conduct a human review of a representative sample of the outputs generated by Tako Recruiter, for the following purposes: quality control of the analyses produced by the system; verification of the presence of algorithmic biases or potentially discriminatory patterns; and assessment of the outputs' adherence to the objective criteria configured for each job opening.
  6. Continuous Monitoring. WGMI will periodically assess the aggregate patterns of the outputs generated by Tako Recruiter in order to identify possible systemic biases, evaluative inconsistencies, or deviations from the established objective criteria. If monitoring identifies evidence of systemic bias or potentially discriminatory results, WGMI will adopt the appropriate corrective measures, which may include adjustments to the model, review of the evaluation criteria, or communication to the affected contracting companies.
  7. Right to Review of Decisions. You may request a review of decisions generated by Tako Recruiter through the Support Channels.

7. REVIEW OF REGISTRATION AND INFORMATION

  1. WGMI may request, and the USER undertakes to provide, at any time, additional information and documents in order to ensure the truthfulness and currency of the registration information, as well as compliance with the legal and regulatory obligations to which WGMI is subject.
  2. The USER is aware that WGMI may carry out all the checks and/or requests that are necessary, directly or through third parties, to validate the information and documents provided by the USER, based on these Terms of Use and on the Privacy Policy – Tako Recruiter, including, but not limited to, checking information with the Brazilian Federal Revenue Service and analyzing data in the Customer Registry of the National Financial System – CCS, as well as credit restriction databases such as SPC and/or SERASA.
  3. The USER's information may also be processed together with that of other USERS for the purpose of generating segment analysis reports through big data, which may be shared with third parties.

8. IMPROPER USE OF TAKO RECRUITER

  1. In the event of suspected improper access to Tako Recruiter or the Tako Recruiter Services by third parties, the USER must report the fact to WGMI immediately through one of the Support Channels. The use and access of the Account may be temporarily blocked until the USER receives new Access Credentials.

9. PROHIBITED PRACTICES

  1. Prohibitions. You are aware of and agree that, while using Tako Recruiter, it is strictly prohibited to:

    • assign, sublicense, sell, donate, dispose of, rent, distribute, transmit, or transfer, in whole or in part, to third parties, under any modality, on any basis, as well as copy, modify, expand, reduce, adapt, translate, decompile, disassemble, reverse engineer, or in any way economically exploit Tako Recruiter, including the data and information made available by Tako Recruiter, as well as use them (a) for purposes not provided for in these Terms of Use; or (b) for the creation or supply of other products or services that compete with Tako Recruiter;
    • disseminate or install viruses or any other malicious code, file, or software for the purpose of interrupting, destroying, improperly accessing, limiting, or interfering with the operation or security of Tako Recruiter, as well as the information, data, and equipment of WGMI, of other USERS of Tako Recruiter, or of third parties, or for any other unlawful purpose;
    • use and access Tako Recruiter, or perform acts, in a manner that impairs the security, integrity, availability, and/or normal operation of Tako Recruiter;
    • access Tako Recruiter, or any data contained therein, in an unauthorized manner, or perform any act that results in a violation of the privacy of other USERS of Tako Recruiter;
    • use the Access Credentials of a third party, or share your Access Credentials with a third party;
    • impersonate another person or conduct interviews via Tako Recruiter on behalf of third parties;
    • upload, transmit, disclose, display, send, or otherwise make available any content that violates the rights of third parties or is illegal, including, without limitation, content that is offensive to the honor and privacy of third parties, racist, discriminatory, pornographic, obscene, defamatory or slanderous, vulgar, prejudiced, or that may give rise to civil or criminal liability; and
    • perform any act contrary to the legislation in force and to these Terms of Use.
  2. WGMI reserves the right, upon simple notice to the USER in question, to preventively suspend or cancel, at any time, the corresponding provision of the Tako Recruiter Services, in the event of mere suspicion of fraud, obtaining a benefit or advantage unlawfully, or failure to comply with any conditions set out in these Terms of Use or in applicable law.

10. RESPONSIBILITIES OF THE USER AND OF WGMI

  1. Use of Tako Recruiter. The USER is solely responsible for the use of Tako Recruiter and must comply with the rules of these Terms of Use, as well as with applicable law. The USER agrees to use Tako Recruiter properly, in good faith, only for lawful purposes, and in accordance with the rules set out in these Terms of Use.

  2. USER's Obligations. The USER is aware that, in order to access and use Tako Recruiter, they must:

    • provide, whenever requested by WGMI, true, accurate, current, and complete information;
    • immediately update the information provided whenever it undergoes any change, including to ensure the receipt by the USER of any communications from WGMI;
    • maintain the security and confidentiality of their Access Information and of the interview links received;
    • respect, among others, the Intellectual Property Rights of WGMI and of third parties; and
    • ensure that access to Tako Recruiter and to the Tako Recruiter Services always takes place under adequate technical conditions.
  3. Means of access to Tako Recruiter and to the Tako Recruiter Services. WGMI does not provide USERS with hardware devices, nor internet connection services or any other technical service necessary to use Tako Recruiter, exempting itself from any liability in this regard. It is the USER's sole responsibility to:

    • equip themselves with, and be responsible for, the hardware devices (computer, mobile phone, tablet, among others) necessary to access Tako Recruiter, as well as their internet access;
    • keep the environment of their devices for accessing Tako Recruiter secure, using specific tools for this purpose, such as antivirus, firewall, among others, in order to help prevent electronic risks;
    • use up-to-date and efficient browsers and/or, as the case may be, operating systems for the full use of Tako Recruiter, in accordance with the specifications provided by WGMI;
    • keep their antispam systems configured so that they do not interfere with the USER's receipt of communications made by WGMI; and
    • bear any costs of internet connection and access for the use of Tako Recruiter.
  4. PENALTIES. THE USER IS RESPONSIBLE FOR ANY AND ALL VIOLATIONS OF THESE TERMS OF USE AND OF APPLICABLE LAW, WHETHER BY ACTION OR OMISSION. IN THE EVENT OF AN INFRACTION COMMITTED BY THE USER, DUE TO THE BREACH OF THESE TERMS OF USE, VIOLATION OF ANY APPLICABLE LAW OR OF THE RIGHTS OF WGMI AND/OR OF THIRD PARTIES, THE USER SHALL BE LIABLE, BEFORE WGMI AND THIRD PARTIES, FOR ALL LOSSES, DAMAGES, AND HARM, DIRECT AND/OR INDIRECT, THAT THEY CAUSE, BEING SUBJECT, INCLUDING, TO THE CIVIL AND CRIMINAL SANCTIONS PROVIDED FOR IN APPLICABLE LAW. THE USER UNDERTAKES TO INDEMNIFY WGMI FOR THE DAMAGES CAUSED, INCLUDING IN CASES OF CLAIMS BROUGHT BY OTHER USERS AND/OR THIRD PARTIES. ARTICLES 186 AND 927 OF THE BRAZILIAN CIVIL CODE (LAW No. 10.406/2002) APPLY TO THESE PROVISIONS.

  5. DISCLAIMER OF LIABILITY. WGMI, ITS AFFILIATES, PARTNERS, EMPLOYEES, OR COLLABORATORS MAY NOT, UNDER ANY CIRCUMSTANCES, BE HELD LIABLE (i) FOR IMPROPER ACCESS TO OR ACTIVITY IN YOUR ACCOUNT; (ii) FOR DAMAGES, DIRECT OR INDIRECT, THAT RESULT FROM, OR THAT ARE RELATED TO, THE MISUSE OR INABILITY TO USE TAKO RECRUITER AND/OR THE TAKO RECRUITER SERVICES, OR THE ACCOUNT, BY THE USER OR BY ANY THIRD PARTIES; OR (iii) FOR THE TRUTHFULNESS OF THE PERSONAL INFORMATION PROVIDED BY THE USER.

  6. Third-Party Services. WGMI uses third-party services to keep Tako Recruiter operating (for example, hosting services). These services are the responsibility of the third parties that provide them, and for this reason are governed by their own terms of use. WGMI will, to the extent possible, keep the USER informed about the deadlines and measures taken to remedy any failures of such services.

  7. UNAVAILABILITY OF TAKO RECRUITER. IN VIEW OF THE CHARACTERISTICS INHERENT TO THE INTERNET ENVIRONMENT, WGMI IS NOT RESPONSIBLE FOR ACCESS OR NAVIGATION FAILURES ON TAKO RECRUITER ARISING FROM CIRCUMSTANCES BEYOND ITS WILL AND CONTROL, SUCH AS INTERRUPTIONS OR SUSPENSIONS OF CONNECTION, INCOMPLETE OR FAILED COMPUTER TRANSMISSIONS, AS WELL AS TECHNICAL FAILURE, INCLUDING, WITHOUT LIMITATION, THE ELECTRONIC MALFUNCTION OF ANY NETWORK, HARDWARE, OR SOFTWARE OF THE USER OR OF THIRD PARTIES, INTERNET FAILURES IN GENERAL, POWER OUTAGES, AND ELECTRONIC AND/OR PHYSICAL MALFUNCTION OF ANY TELECOMMUNICATIONS NETWORK.

11. RIGHT OF REFUSAL, CANCELLATION, AND SUSPENSION OF REGISTRATION

  1. Cancellation by the USER. The cancellation of the use of the Tako Recruiter Services by the USER may be carried out by the USER themselves by contacting us via e-mail at support-recruiting@tako.ai, at any time.
  2. Cancellation by WGMI. WGMI reserves the right, upon simple notice to the USER in question, to preventively suspend or cancel, at any time, the respective registration and the corresponding provision of the Tako Recruiter Services, if it identifies the occurrence of misuse of purpose in the use of Tako Recruiter, operations outside the standard pattern of use, fraudulent or unlawful transactions, obtaining a benefit or advantage unlawfully, the provision of false, inaccurate, incomplete, or misleading information, the failure to provide additional information and/or documents, or the failure to comply with any of the conditions set out in these Terms of Use or in applicable law. In such cases, no compensation will be due by WGMI to the USER or to third parties for any direct and indirect damages caused. In the event of unlawful or fraudulent transactions that cause harm to third parties, the USER shall be responsible for any indemnities and/or reimbursements that may be necessary toward such third parties acting in good faith. The USER is aware of and agrees that WGMI may take all necessary measures to pursue and safeguard its rights, including judicial measures.
  3. WGMI may cancel the provision of the Tako Recruiter Services, notifying the USER, in the following cases: (i) without cause, upon notice to the USER at least 30 (thirty) days in advance; and (ii) in the event of the USER's death.

12. WGMI'S RIGHTS OVER TAKO RECRUITER

  1. Authorization. Subject to these Terms of Use, WGMI grants the USER an authorization to use Tako Recruiter solely to benefit from the Tako Recruiter Services, provided that the USER complies with their obligations set out in these Terms of Use. The authorization granted herein does not allow the commercial exploitation of Tako Recruiter.

  2. WGMI Content. All intellectual property rights relating to Tako Recruiter, as well as all of its features, are the exclusive property of and/or are licensed to WGMI, including with respect to its texts, images, trademarks, layouts, software, code, databases, graphics, articles, photographs, videos, audiovisual works, and other content produced directly or indirectly by WGMI ("WGMI Content").

    2.1. Tako Recruiter and the WGMI Content are protected by intellectual property law, including copyright, industrial property rights, and other rights. It is prohibited to use, copy, reproduce, modify, translate, publish, transmit, distribute, perform, upload, display, license, sell, exploit, scrape, and/or reverse engineer Tako Recruiter and the WGMI Content, for any purpose, without the prior and express consent of WGMI and/or its licensors. Any unauthorized use of Tako Recruiter and of the WGMI Content shall be considered a violation of the intellectual property rights of WGMI and/or its licensors.

    2.2. WGMI reserves the right to alter or remove from Tako Recruiter, in whole or in part, the WGMI Content, including features, without prior notice to the USER and without any compensation being due, but in no case shall the USER's rights be affected.

    2.3. No provision of these Terms of Use shall be understood as a restriction or waiver of any rights of WGMI over Tako Recruiter, nor as an assignment to USERS of the intellectual property rights of WGMI and/or its licensors.

  3. Improvements. Any and all development, arrangement, improvement, update, or new version made by WGMI and/or its licensors to Tako Recruiter, to its features, and/or to the WGMI Content, even if at the suggestion or request of the USER, shall be owned by WGMI and/or its licensors, and WGMI and/or its licensors may freely employ them and, without limitation, adapt, enhance, transform, reproduce, distribute, commercialize, register, assign, and license them, on any basis and at their sole discretion.

  4. Feedback. You acknowledge that WGMI is free to use, apply, modify, publish, reproduce, and commercialize any comments, information, ideas, concepts, opinions, techniques, and/or any other materials contained in any communication that You send to WGMI, whether through Tako Recruiter or other communication channels, including, without limitation, any suggestion, request for improvements, or recommendations offered by You to WGMI, whether or not related to Tako Recruiter ("Feedback"). You hereby assign to WGMI all economic intellectual property rights related to the Feedback, free of charge, irrevocably, irreversibly, fully, perpetually, and globally, without any remuneration, recognition, payment, or compensation being due to You. You represent and warrant that, prior to this assignment, You were the holder of all intellectual property rights over the Feedback (to the extent applicable) and that the offering of the Feedback to WGMI, including this assignment, does not violate any rights of third parties.

  5. All advertisements, offers, promotions, trademarks, texts, and third-party content displayed through Tako Recruiter are the property of their respective owners, and the improper use of any content or trademarks presented on Tako Recruiter is expressly prohibited.

13. HOW TO CONTACT TAKO RECRUITER TECHNICAL SUPPORT?

  1. Technical support. The provision of the technical support service is limited to clarifications about the operation of Tako Recruiter, presupposing that USERS have knowledge of how to use the equipment through which Tako Recruiter is accessed, as well as of the operating system under which Tako Recruiter will be used. It is also presupposed that the computer or mobile device is properly configured to allow the use of Tako Recruiter and that the said equipment is in good working order.
  2. Limitations of support. The Technical Support provided by WGMI does not cover the internet connection, internal network, and computers or mobile devices of USERS. WGMI is not responsible for the failure of Tako Recruiter to operate arising from internet connection failures or from the operation of the computers or mobile devices that you use to access Tako Recruiter.

14. SUPPORT AND COMMUNICATION CHANNELS

  1. Support Channels. Only contacts made through WGMI's official Support Channels will be recognized, including contacts made through the address support-recruiting@tako.ai.
  2. Communications to the USER. All communications and notifications sent by WGMI to the e-mail address listed in the USER's registration will be considered valid, and it is the USER's responsibility to keep it up to date.

15. WHAT ELSE DOES THE USER NEED TO KNOW ABOUT THESE TERMS OF USE?

  1. Authorities. Any action that constitutes, or may constitute, the practice of a crime or an act of bad faith or contrary to good morals will give rise to WGMI reporting it to the competent authorities, without prejudice to the other appropriate measures under these Terms of Use and applicable law, especially operations that may be covered by the legislation governing the crimes of money laundering or concealment of assets, rights, and funds.
  2. Independence. These Terms of Use do not create any other form of relationship between the USER and WGMI, including, without limitation, agency, representation, partnership, association, employment relationship, or the like. WGMI shall remain an independent and autonomous entity.
  3. Assignment. WGMI may, at any time, upon prior notice to the USER, assign the rights and obligations relating to these Terms of Use to companies within its same economic or corporate group, it being understood that the assignee will continue to comply with all the assigned obligations.
  4. Partial invalidity. If any provision of these Terms of Use is deemed invalid, the validity of the remaining provisions of these Terms of Use shall not be affected and they shall continue to have effect.
  5. Forbearance. Any omission or tolerance by WGMI in requiring strict compliance with the obligations set out in these Terms of Use shall not, under any circumstances, constitute novation or waiver, nor shall it prevent WGMI from enforcing these rights against the USER at any time.
  6. Governing law. These Terms of Use are governed by the laws of the Federative Republic of Brazil.
  7. Disputes. Any questions and situations not provided for in these Terms of Use should preferably be resolved by WGMI and, if they persist, shall be settled in the courts of the USER's domicile.

The USER's use of Tako Recruiter or the Tako Recruiter Services indicates that they have read and accepted the entire content of these Terms of Use, becoming bound and subject, as of that moment, to the rights and obligations set out herein.

APPENDIX — Definitions

"Tako Recruiter" means the platform controlled and operated by WGMI, through which USERS may access the Tako Recruiter Services.

"Customer" means the legal entity that contracts WGMI's services, including the Tako Recruiter Services.

"CNPJ" means the National Registry of Legal Entities of the Ministry of Finance.

"Account" means the account held by the USER on Tako Recruiter, so as to enable the use of the Tako Recruiter Services.

"CPF" means the Individual Taxpayer Registry of the Ministry of Finance.

"Tako Recruiter Services" means the automated interview services.

"Terms of Use" means these General Terms and Conditions of Use.

"USER" means the candidate for job openings who is enrolled in recruitment and selection processes organized by the Customers.

"WGMI" means WGMI TECNOLOGIAS LTDA.
